Welcome to KPilot. Please read these Terms of Service ("Terms") carefully as they contain important information about your legal rights, remedies, and obligations. By accessing or using the KPilot platform, you agree to comply with and be bound by these Terms.

1. Acceptance of terms

By accessing or using our platform, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our platform.

2. Changes to terms

We may modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through our platform, or updating the "Last Updated" date at the beginning of these Terms. Your continued use of our platform following notification of changes will constitute your acceptance of such changes. 3. Account registration

KPilot offers subscription-based services. By subscribing to our services, you agree to pay the applicable fees. All fees are exclusive of taxes, which you are responsible for paying. Subscription fees are non-refundable except as expressly provided in these Terms.

You authorize us to charge your payment method for all fees incurred by you. If your payment cannot be completed, we may suspend or terminate your access to our platform.

5. Intellectual property rights

Our platform and its contents, features, and functionality are owned by KPilot and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our platform, or delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from our platform, without our express prior written consent.

6. User content

You retain all rights in, and are solely responsible for, the content you post to our platform. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing our platform.

You represent and warrant that you own or have the necessary rights to post your content and that your content does not violate the rights of any third party or any applicable law.

7. Prohibited conduct

You agree not to:

• Use our platform in any way that violates any applicable law or regulation
• Use our platform to transmit any material that is defamatory, obscene, or offensive
• Use our platform to impersonate any person or entity or misrepresent your affiliation with a person or entity
• Interfere with or disrupt our platform or servers or networks connected to our platform
• Attempt to gain unauthorized access to any portion of our platform or any other accounts, computer systems, or networks connected to our platform
• Use any robot, spider, or other automatic device to access our platform for any purpose
• Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material to our platform

8. Termination

We may terminate or suspend your account and access to our platform at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our platform will immediately cease.

9. Disclaimer of warranties

Our platform is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our platform will be uninterrupted or error-free, that defects will be corrected, or that our platform or the servers that make it available are free of viruses or other harmful components.

10. Limitation of liability

In no event will KPilot, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, our platform, including any direct, indirect, special, incidental, consequential, or punitive damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless KPilot, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our platform.

12. Governing law

These Terms and your use of our platform will be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

13. Dispute resolution

Any dispute arising from these Terms or your use of our platform will be resolved through binding arbitration in San Francisco, California, except that you may assert claims in small claims court if your claims qualify.

14. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KPilot regarding our platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
